Terms of Service

These Terms of Service ("Terms") govern your access to and use of Approvefy, a Shopify application ("Approvefy", "we", "us", "our"). By installing, accessing, or using Approvefy, you ("merchant", "you", "your") agree to these Terms. If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity.

If you do not agree, do not install or use Approvefy.

1. The Service

1.1 Description

Approvefy provides tools connected to your Shopify store, including (subject to plan and availability) customer registration and approval workflows, configurable forms and fields, storefront-related behaviour, multilingual copy, appearance settings, and optional email capabilities (including merchant-provided SMTP where you enable it).

1.2 Shopify

Approvefy is offered through the Shopify App Store and relies on Shopify's platform, APIs, authentication, billing (if applicable), and policies. Your use of Shopify is governed by Shopify's agreements with you, not by these Terms alone.

1.3 Changes to the Service

We may modify, suspend, or discontinue features or availability of Approvefy (or require updates) where reasonable, including for security, compliance, costs, or product direction. Where material adverse changes occur, we will use reasonable efforts to provide advance notice where practicable.

2. Accounts and Eligibility

2.1 You must have an active Shopify store and lawful authority to install apps on behalf of that store.

2.2 You are responsible for all activity under your Shopify admin credentials and for maintaining the confidentiality and security of your store and integrations.

3. Fees and Billing

3.1If Approvefy is offered as a paid subscription or usage-based offering, pricing, billing cadence, and taxes are presented at install or checkout (including via Shopify Billing where used). Fees are charged as described in Shopify's billing flow unless we notify you otherwise in writing or in-app.

3.2 Trials. If a trial is offered, it ends as stated in the App Store listing or in-app unless you subscribe or uninstall before that date.

4. Licence and Acceptable Use

4.1 Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use Approvefy for your own internal business purposes in connection with your Shopify store(s) you authorised.

4.2 Restrictions

You will not:

  • Reverse engineer, decompile, or attempt to derive source code of Approvefy except as permitted by law
  • Use Approvefy to violate law or third-party rights
  • Send spam or unlawful, misleading, harmful, discriminatory, or infringing content via any Approvefy feature
  • Probe, scan, or test vulnerabilities of our systems without prior written consent
  • Interfere with Approvefy, Shopify, or other merchants' use of Shopify
  • Resell or sublicence Approvefy as a standalone product unless expressly agreed in writing
  • Use Approvefy to build a competing product using our proprietary materials
  • Circumvent technical limits, plan restrictions, or security controls

4.3 Merchant Content

You retain rights to content you submit (including form definitions, translations, templates, and customer-facing copy). You grant us a worldwide licence to host, process, transmit, and display such content only as needed to operate and improve Approvefy for your store during the subscription term.

4.4 Feedback

If you give us suggestions or feedback about Approvefy, we may use it without obligation or compensation to you, except where prohibited by law.

5. Your Responsibilities

5.1 Lawfulness

You are solely responsible for your use of Approvefy, your store, your products or services, and your collection of data from visitors and customers—including privacy notices, consents where required, and compliance with GDPR, CPRA/CCPA, and other privacy and consumer laws that apply to you.

5.2 Configurations

You are responsible for how you configure forms, approvals, redirects, tags, SMTP, templates, and any automated or manual workflows. Misconfiguration may affect customers' experience or compliance; you accept that risk.

5.3 Third-party Providers

If you integrate third-party SMTP, analytics, or other services, separate terms apply between you and those providers.

5.4 Backing Up

You should maintain backups of critical business records. We aim for reliable hosting but do not warrant uninterrupted or loss-free operation.

6. Customers and Shopify Data

6.1 Customer Registrations

Registration data belongs to your organisation subject to Shopify's ecosystem and privacy rules. Your Privacy Policy (and Shopify's notices as applicable) should describe processing of customer data related to registration and approvals.

6.2 Deletion and Export

Availability of deletion or export tools in Approvefy is as implemented in-product. Shopify may persist certain customer data pursuant to Shopify's policies after uninstall.

7. Intellectual Property

7.1 Our IP

Approvefy, branding, UI, documentation, and related materials not owned by Shopify are licensed, not sold, and remain our property or our licensors'. Except for the licence in Section 4.1, we reserve all rights.

7.2 Trade Marks

Do not remove or alter attribution or legal notices embedded in lawful default templates unless you replace them with your own compliant wording.

8. Disclaimer of Warranties

To the fullest extent permitted by law, Approvefy is provided "as is" and"as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, quiet enjoyment, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that Approvefy will be error-free, uninterrupted, hack-proof, or that it will achieve any particular business outcome.

Some jurisdictions do not allow disclaimer of certain implied warranties; in those jurisdictions, disclaimers apply to the maximum extent allowed.

9. Limitation of Liability

9.1 Exclusion

To the fullest extent permitted by law, we and our affiliates, suppliers, and respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.

9.2 Cap

Our aggregate liability arising out of or relating to Approvefy or these Terms will not exceed the greater of (a) the fees you paid us for Approvefy in the three (3) months before the event giving rise to the claim, or (b) USD $100, if no fees were paid in that period.

9.3 Exceptions

Nothing in these Terms limits liability that cannot be limited by law (including death or personal injury caused by negligence, fraud, or other liability that cannot be excluded in your jurisdiction).

10. Indemnity

You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of Approvefy; (b) your store, products, or customer interactions; (c) your breach of these Terms or applicable law; (d) your configuration of forms, email, or automation; or (e) dispute between you and your customers, except to the extent caused by our willful misconduct or gross negligence.

11. Term and Termination

11.1 Term. These Terms apply from first use until terminated.

11.2 By You. You may stop using Approvefy by uninstalling it from your Shopify admin and ceasing use.

11.3 By Us. We may suspend or terminate access if you materially breach these Terms, create legal or security risk, or if required by law or Shopify. We may also terminate with reasonable notice if we discontinue the product.

11.4 Effect. On termination, your licence ends. Provisions that by nature should survive (including IP, disclaimers, limitation of liability, indemnity, and disputes) will survive.

12. Third-party Services and Links

Approvefy may reference or interoperate with third-party services. We are not responsible for third-party services, content, or policies.

13. Export and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to comprehensive embargoes or sanctions that prohibit use of the service, and that you will not use Approvefy in violation of export control or sanctions laws.

14. Changes to These Terms

We may update these Terms. We will post the updated Terms with a new "Last updated" date. Material changes may require additional notice (for example in-app or email) where required by law or Shopify policy. Continued use after the effective date may constitute acceptance. If you do not agree, uninstall Approvefy.

15. Governing Law and Disputes

15.1 Governing Law. These Terms are governed by applicable laws, excluding conflict-of-law rules.

15.2 Venue. Subject to applicable law and mandatory consumer arbitration or court rules, exclusive jurisdiction and venue for disputes will be determined by applicable law.

15.3 Informal Resolution. Before filing a claim, you agree to contact us at the email below and attempt to resolve the dispute in good faith for thirty (30) days.

16. General

16.1 Entire Agreement. These Terms (and documents incorporated by reference, such as your Privacy Policy link in the App Store listing) constitute the entire agreement between you and us regarding Approvefy.

16.2 Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger or sale.

16.3 No Waiver. Failure to enforce a provision is not a waiver.

16.4 Severability. If a provision is invalid, the remainder remains in effect.

16.5 Language. The English version controls if we provide translations, unless local law requires otherwise.
